Welcome To the Millennium Lock Systems Inc portal site use, terms and service of use (hereafter the "Service"). Please read this member agreement (hereafter Agreement) carefully before using this service.
By using the Service, you accept and agree to the terms contained hereunder and the terms of the Privacy, Membership and Terms of Use Agreement. If you do not agree to these terms, please do not use the service. We may change the terms from time to time, and it is your responsibility to review them periodically to make sure that you are current on the guidelines. MLS accepts no liabilities or warranties in all areas of use in the MLS Portal.
General
This Service is owned and operated by MLS Inc, 6150 Richmond Ave,
Unit 210 Houston TX. The Service offers Users (as defined below)
access to information, resources and interpersonal networking services
and other content owned or licensed by MLS Inc (MLS).
Please note that all visitors and users will be referred to hereafter as "User" in this Agreement. Each User must be registered to establish a user profile. "User Profile" means the account registered to any User pursuant to the registration procedures for the Service. The terms of this Agreement apply to all Users. The User for any User Profile Account is entirely liable for all activities conducted through that Account.
NOTE: Each section of this portal has specific terms of use however the about User, Privacy Terms of Use Agreement should be referred to as general terms in association with the specific terms set out in the relevant section.
Personal Information
When you register to be a User we will request contact information
and general information about you and your organization. We will
also ask you to create a Username, Password and PIN. This information
allows us to maintain a User Profile for each User so that we have
a better understanding of the needs of our Users and can then customize
preferences and resources for users, as well as provide better
services and more efficient methods for users to contribute and
receive information. As a registered User you will be automatically
placed on a list to receive emails, and newsletter information
that is important to the User. As a registered User you will be
automatically placed on a list to receive information email newsletter
that is sent once every other week.
We may use the information we collect during the registration process to occasionally notify you about important functionality changes to the Web site, new services and special offers from sponsors we think you'll find valuable. MLS is committed to protecting your privacy and developing technology that provides you with a safe and secure online exchange. MLS and its operational service partners collect and use your personal information solely to operate the MLS Web portal and deliver the services you have requested. MLS does not sell, rent or lease its customer lists to third parties. MLS may, from time to time, contact you about a particular offering in a service delivered from the Web portal that may be of interest to you. In those cases, your unique personally identifiable information (e-mail, name, address, telephone number) is not transferred to any third party. MLS may share data with trusted associates to assist us with statistical analysis. Such third parties are prohibited from using your personal information except to provide these services to MLS and they are required to maintain the confidentiality of your information. MLS secures your personal information from unauthorized access, use or disclosure. MLS secures the personally identifiable information you provide on computer servers in a controlled, secure environment, protected from unauthorized access, use or disclosure. Personal information (such as credit card numbers if applicable) is transmitted only through the use of Secure Socket Layer (SSL) encrypted protection.
Non-transferability of Membership
As a registered User of this Service, MLS grants to you a personal,
nonexclusive, non-assignable, and non-transferable license to use
and display the information offered by the Service on any machine(s)
of which you are the primary user. You acknowledge that you may
not sublicense, transfer, sell, or assign this license or the Service.
Any attempt to sublicense, transfer, sell, or assign the license
is void.
Intellectual Property Rights
The Service provides certain services and benefits for registered
Users and Associates and derives its revenue from the production
and distribution of those services and benefits for the exclusive
use of MLS Users and Associates. Users of the service acknowledge
that the redistribution of content, information, data, or other
intellectual property gained through exclusive access to MLS services
or benefits to any other party would be a violation of applicable
copyright laws and therefore would cause harm to the Service. User's
hereby agree that redistribution of any materials to any Non-User
or Non-Associate shall require prior written authorization from
an authorized agent of the Service. It is further agreed, that
any specific instance in which written authorization is granted
by the Service, does not authorize the User to redistribute any
other material than that for which written authorization was granted.
Security
As part of the registration process, each Member or Associate, will
select a Username, Password and PIN. You shall provide MLS, complete,
and updated Member Profile information. You agree to notify MLS
by email at [email protected] of any known or suspected unauthorized
use(s) of your User Profile Account, or any known or suspected
breach of security, including loss, theft, or unauthorised disclosure
of your password or PIN. You shall be responsible for maintaining
the confidentiality of your Password and PIN. Any fraudulent, abusive,
or otherwise illegal activity may be grounds for termination of
your User Profile Account, at MLS's sole discretion, and you may
be reported to appropriate law-enforcement agencies.
Personal Information Security
MLS implements a variety of standard web security measures to maintain
the safety of your personal information. Of course you may use
the site anonymously as a visitor, but any personal information
you provide to become a Registered Member will be protected by
secured networks and is only accessible by a limited number of
Personnel who have special access rights to such systems. We recommend
that, if you share your computer or use a computer that is accessed
by the general public (i.e., a Corporation, Institution, University
or library, etc.), you remember to close your browser window when
you have finished your session. This will help to ensure that others
cannot access your personal information. An automatic timing logout
facility will be activated when a user session has been inactive
for a period of time set by the system administrator. However this
does not constitute responsibility on behalf of MLS or imply any
warranties for same.
Personal Information to Other Parties
MLS does not sell or otherwise transfer outside the company e-mail
addresses or other general information that Users voluntarily provide
in any registration. This information is collected and used to
better understand Users' use of the Service and to support related
transactions made on the site. MLS may also use e-mail addresses
and other personally identifiable information to communicate with
Users or Associates who initiate communications with us or you
require information from an Associate, Organization connected through
the MLS portal.
MLS may disclose your personally identifiable information if we believe in good faith that we are required to do so in order to comply with applicable law, a subpoena or other legal process. We may also disclose this information if we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be violating our terms of service or to protect the safety of our Users and the public.
Cookies
Cookies are bits of electronic information that a web site can transfer
to a User's hard drive to help tailor and keep records of his or
her visit to the site. Cookies allow web site operators to better
customize site visits to the visitor's individual preferences.
The use of cookies is standard on the Internet and many major web
sites use them. Although most web browsers automatically accept
cookies, you can usually change your browser to prevent or notify
you whenever you are sent a cookie. This gives you the opportunity
to decide whether or not to accept it.
Termination
A registered User or Associate is effective until terminated by either
party. Although it is assumed that Users and Associates will remain
active until notified, you may terminate your right to use the
Service at any time by sending a letter on your company letterhead
or correspondence to the Institution you are associated with, stating
your reasons for terminating, to MLS. MLS may terminate the Service,
or any element of the Service, at any time without notice. MLS
may terminate your account or access rights to this Service immediately
without notice, if in MLS's sole discretion, you fail to comply
with any term or provision of this Agreement. Upon termination,
you must destroy all materials obtained from this Service and all
copies thereof. Refunds will not be issued for canceled Users.
Visitor & User Conduct
The Online chat, communication forums, Job Board, and Resource Directory
shall be used for lawful purposes only. No material shall be posted
on or transmitted by any User which violates or infringes on the
rights of others, which is unlawful, threatening, abusive, defamatory,
invasive of privacy or publicity rights, vulgar, obscene, or otherwise
objectionable, which encourages conduct that would constitute a
criminal offense, gives rise to civil liability or otherwise violates
any law. No conduct shall be undertaken that, in our judgment,
restricts or inhibits any other User from using or enjoying the
Service. Advertising or explicit commercial solicitations may NOT
posted on or transmitted through the Service without our express
prior written approval.
No material protected by copyright, trademark or other proprietary right shall be uploaded, posted or otherwise made available on the Service without the express permission of the owner of the copyright, trademark or other proprietary right. You shall be solely liable for any damages resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from any uploading, posting or submission. You hereby grant to us the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any message posted in the discussion and Service (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed.
You shall not (i) select or use a User name or email address of another person with the intent to impersonate that person; (ii) use a user name or email address subject to the rights of any person without authorization; (iii) use a User name in violation of the intellectual property rights of any person; or (iv) use a User name that we, in our sole discretion, deem offensive. The foregoing provisions of this section are for our benefit and the benefit of our affiliates, third party content providers and licensor's, and each shall have the right to assert and enforce such provisions directly on its own behalf.
Third Party Links
In an attempt to provide increased value to Users, MLS may provide
various third party web-site links from this web-site. However,
even if the third party is affiliated with MLS, MLS has no control
over these linked sites who may each have separate privacy and
data collection practices, and which are independent of MLS. Neither
MLS nor any of its affiliates and contractors, have any responsibility
or liability for these independent policies or actions and no such
party is responsible for the privacy practices or the content of
such web sites. These linked sites are only for your convenience
and you therefore access them at your own risk. Nonetheless, MLS
seeks to protect the integrity of its web site and the links placed
upon it and therefore requests feedback on not only its own site,
but for sites it links to as well (including if a specific link
does not work).
Third Party Content
We are a distributor of content supplied by third parties and Users
of the Service. Any opinions, advice, statements, services, offers,
or other information or content expressed or made available by
third parties, or any other user of the Service, are those of the
respective author(s) or distributor(s) and not of MLS.
Chain Letter and Pyramid Schemes
Transmitting chain letters or pyramid schemes of any kind is strictly
disallowed on this Service's mail and message systems and is considered
a nuisance by a majority of users. In addition, certain chain letters
and pyramid schemes are illegal under state and federal law. Letters
or messages that offer a product or service based on the structure
of a chain letter are also of questionable legality. At a minimum,
they are a waste of this Service's resources and are not permitted.
Solicitation and Advertising
You may not use this Service to send unsolicited advertising, promotional
material, or other forms of solicitation to other users except
in specific areas designated for such a purpose.
Infringement
You are prohibited by this Terms and Use Agreement and by law from
engaging in acts of copyright, trademark, patent, trade secret
or other intellectual property or proprietary infringement.
Adult Material
MLS prohibits the transfer or posting on this Service of nudity,
pornographic or adult material, sexually explicit images or descriptions
involving sexual behavior, or other content deemed offensive by
MLS according to community standards and state and federal law.
Disclaimer of Warranty; Limitation of Liability
Each User expressly agrees that use of the Service is at his or her
sole risk. We do not warrant that these services will be uninterrupted
or error free; nor do we make any warranty as to the results that
may be obtained from use of these services or as to the accuracy,
reliability or content of any information provided through the
service. The disclaimer of liability contained in this section
applies to any damages or injury caused by any failure of performance,
error, omission, interruption, deletion, defect, delay in operation
or transmission, computer virus, communication line failure, theft
or destruction or unauthorized access to, alteration of, or use
of record, whether for breach of contract, negligence, or under
any other cause of action. Each User specifically acknowledges
that we are not liable for the defamatory, offensive or illegal
conduct of other third parties, subscribers, or other Users of
the service and that the risk of injury from the foregoing rests
entirely with each User. In no event will we or any person or entity
involved in creating, producing or distributing the service be
liable for any direct, indirect, incidental, special or consequential
damages arising out of the use of or inability to use the service
or out of the breach of any warranty. Each User hereby acknowledges
that the provisions of this section shall apply to all content
on the Service. We neither endorse nor are responsible for the
accuracy or reliability of any opinion, advice or statement on
the Service, nor for any offensive, defamatory or obscene posting
made on the Service by anyone other than our employee spokespersons
while acting in their official capacities. Under no circumstances
will we be liable for any loss or damage caused by reliance on
information obtained through postings on the service. We do not
endorse, warrant or guarantee any product or services offered by
a third party through the Service and will not be a party to or
in any way monitor any transaction between Users and third party
providers of products or service. As with the purchase of a product
or services through any medium or in any environment, each User
should use her or her best judgment and exercise caution where
appropriate. Each User specifically acknowledges that in no event
will we, our affiliates, nor any of their respective employees
or agents be liable for any direct, indirect, incidental, special
or consequential damages arising out of: the use by such user of
any browser owned or operated by any party and/or the downloading of any software owned or operated by any third party.
Monitoring
MLS shall have the right, but not the obligation, to monitor the
content of the Service to determine compliance with this Agreement
and any other operating rules established by us. MLS shall have
the right in our sole discretion to edit, refuse to post or remove
any material submitted to or posted on the Service. Without limiting
the foregoing, MLS shall have the right to remove any material
that we, in our sole discretion, find to be in violation of the
provisions hereof, otherwise objectionable or stale. Notwithstanding
this right, Users shall remain solely responsible for the content
of their messages. Each User acknowledges and agrees that neither
we nor any third party content provider shall assume or have any
liability for any action or inaction by us or any third party content
provider with respect to any conduct, communication or posting
on the Service.
Policy Changes
By using the Service, Users consent to the collection and use, as
described herein, of information by MLS and its affiliates. If
we decide to change our Privacy, User Privacy and Terms of Use
Agreement, we will post those changes on this page so that you
are always aware of how we use information we collect, and under
what circumstances we disclose it.
